    What does the job entail?

    The Associate Counsel, Contracts is an integral member of the Legal & Compliance Department who works with other members of the department to provide legal assistance to support the company’s needs. The Associate Counsel will be confident and proactive in his/her approach, have the ability to work collaboratively and also be capable of working autonomously, and be comfortable with, and skilled in, interacting with attorneys, senior management, and members of the Board of Directors. The responsibilities of the Associate Counsel include:

    • Prepares, reviews and/or edits legal contracts and documents such as confidentiality agreements, initial and amended by-laws, articles of incorporation, charters, and other corporate documents.
    • Review and negotiate professional services contract agreements and ensure agreements comply with State and Federal policies and procedures.
      • Types of agreements include clinical consulting and research, marketing and market access, payer contracts, logistics, patient assistance, pharmaceutical dispensing, and other agreements in the life sciences space.
    • Review/negotiate contract agreements with outside counsel/contracting representatives to address required terms and conditions.
    • Identify and escalate contract language issues to General Counsel according to policies.
    • Review/negotiate amendments to contract agreements.
    • Communicate clearly and effectively with contracting representative from applicable department(s) on material modifications to contract agreements that occur in the review/negotiation process.
    • Work in a high volume contract operations unit and ensure service level agreements for turn-around time and related deadlines are met
    • Understand and interpret applicable policies, laws, regulations, rules, guidelines, etc. Understand and interpret applicable institutional policies, laws, regulations, rules, guidelines, etc. Demonstrate exceptional customer service skills while working effectively as part of a team.
    • Perform other duties and assist with special projects as assigned.

    Professional Qualifications:

    • Juris Doctorate from an accredited law school with 5 + years of experience as a transactional attorney doing clinical trial contracts, negotiation, confidentiality agreements, supply side agreements, consulting, licensing, and/or data privacy.
    • Prior in-house experience preferred.
    • Experience in the biotechnology, pharmaceutical, or life sciences industry preferred.
    • Experience with IP search tools, databases, and docketing systems
